1. The agreement

These terms are an agreement between RepSuite Technologies Ltd ("IronTeller", "we") and the gym business that creates an IronTeller account ("the gym", "you"). The person who creates the account confirms they are allowed to accept these terms for the gym.

By creating an account or using IronTeller you accept these terms and our Privacy notice. If you do not accept them, do not use IronTeller.

Section 11 sets out the terms for gym members who use a gym's join page or member app.

2. What IronTeller does

IronTeller is software for running a gym: members and memberships, check-ins, payments and the till, renewals, classes, staff and reports. It records payments that the gym takes; IronTeller does not hold, receive or move money, and is not a party to any payment between a gym and its members. Where a gym turns on card payments, those are processed by Paystack under Paystack's own terms.

We may improve, change or remove features. If we remove something you rely on, we will tell you in advance where we reasonably can.

3. Accounts and staff

  • You are responsible for everyone you invite, and for what they do in your account. Give each person the narrowest role that lets them do their job.
  • Each person must have their own login. Do not share passwords; the audit log is only useful if it names the right person.
  • Keep passwords secret and tell us straight away at [supportEmail not set] if you think an account has been compromised.
  • Remove staff who leave. Their history stays, but their access ends.

4. Your members’ data

Your gym owns its data and is the data controller for its members' personal data under the Nigeria Data Protection Act 2023. IronTeller acts as your data processor. That means:

  • We process member data only to provide IronTeller to you and on your instructions; keep it confidential and secure; use providers bound by the same duties; help you answer members' requests; tell you without delay about a breach affecting your data; and delete or return it when you leave.
  • You are responsible for having a lawful basis for what you record, collecting consent where it is needed (the join page and registration record it), telling members how their data is used (you may point them to our Privacy notice), keeping records accurate, and answering members who ask to see, correct or erase their data — IronTeller gives you the tools to do so on each member's page.
  • Only record what you need. Do not store health details, ID documents or anything sensitive in notes unless the member has explicitly agreed.
  • Only message members about their membership, and stop when they ask you to.

You can download your data at any time.

5. Acceptable use

You must not use IronTeller to:

  • break the law, including data protection, consumer protection and anti-spam law;
  • send messages to people who have not agreed to hear from you or have asked you to stop;
  • record people without their knowledge, or for any purpose other than running your gym;
  • try to access another gym's data, probe or overload the service, or get around its limits and permissions;
  • copy, resell or rebuild IronTeller.

6. Fees

Every gym starts with a free 14-day trial; no card is needed. To keep using IronTeller after the trial, the owner chooses a plan under Settings → Billing. Prices are shown there before you pay.

  • Plans are paid in advance, monthly or yearly, by card through Paystack, and renew automatically until cancelled. A gym may instead agree to pay by bank transfer, in advance.
  • You can cancel at any time from Billing. Renewal stops, and you keep access until the end of the period already paid for. Payments already made are not refunded, except where the law requires it.
  • Switching plan starts the new plan, and its charge, straight away; the old one stops renewing.
  • If a renewal fails, you have 7 days to update the card. After that the account is paused until payment is made. Your data is not deleted while it is paused, and you can still export it.
  • Each plan has limits on active members, branches and staff logins. If you go over them, nothing stops working; we will ask you to move to a plan that fits.
  • We may change prices. We will give you at least 30 days' notice by email before a change affects your next renewal.
  • Prices are in naira and include any taxes we are required to charge.

7. Availability and support

We work to keep IronTeller running and fast, and the front desk keeps checking members in when the internet drops. But no online service is available all the time, and we do not guarantee that IronTeller will be uninterrupted or free of errors. Planned maintenance will be done at quiet hours where possible.

For help, contact [supportEmail not set].

8. Ending the agreement

  • You can stop using IronTeller and close your account at any time by contacting us.
  • We may suspend or close an account that breaks these terms, puts other users or the service at risk, or where the law requires it. Unless the matter is urgent, we will warn you first and give you a chance to fix it.
  • When an account closes, you have 30 days to download your data. After that we delete it, except records we must keep by law.

9. Responsibility and liability

IronTeller is a record-keeping and operations tool. Decisions about who is let in, what is charged, refunds and how members are treated remain the gym's. Check important figures, such as till counts and transfers, against your bank and your cash.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits or lost business, and our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim (or ₦100,000 if you have paid nothing). Nothing in these terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.

You agree to cover losses we suffer because of your breach of these terms or of data protection law in how you use IronTeller.

10. Ownership

We own IronTeller, its software and design. You own your gym's data and content. You give us permission to host and process it only so we can provide IronTeller to you. If you send us feedback, we may use it to improve IronTeller without owing you anything.

11. For gym members

If you join a gym through its IronTeller join page, or use its member app:

  • Your membership, prices, refunds and house rules are an agreement between you and the gym, not IronTeller. Questions about them go to your gym.
  • A membership paid by transfer starts once the gym confirms the money has arrived.
  • If you tick Renew automatically when paying by card, your card is charged the gym's price for that plan the day before your membership ends, and it renews for another period. We email you 3 days before each charge. You can switch it off any time in the portal, and the gym can switch it off for you; switching it off stops future charges but does not refund past ones. If a charge is declined we try again on the next two days, then switch auto-renew off. We keep only a token from Paystack that lets us charge that card for this gym — never your card number.
  • Give accurate details, and keep your sign-in codes to yourself.
  • How your data is used is explained in our Privacy notice. You can ask your gym for a copy of your data, to correct it or to erase it.

12. General

  • We may update these terms. We will show the new date at the top, and tell gyms in advance of changes that materially affect them. Continuing to use IronTeller after a change takes effect means you accept it.
  • These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction. We will always try to resolve a dispute with you directly first.
  • If part of these terms is found unenforceable, the rest still applies.
